These Terms & Conditions ("Terms") govern your access to and use of Forge (the "Software"), the Forge website (the "Site"), and any related services provided by the Company ("Company", "we", "us", "our"). By accessing the Site, downloading, installing, or using Forge, you agree to be bound by these Terms. If you do not agree, do not use the Software.

1. Description of Forge

Forge is a local-first, deterministic post-production automation tool designed for ingest, proxy generation, and delivery workflows. Forge executes jobs based on immutable Job Specifications ("JobSpecs"), performs validation before execution, produces auditable execution timelines, does not perform creative editing, is not a non-linear editor (NLE), and does not make autonomous creative decisions. Forge is an execution engine, not a creative tool.

2. License Grant

Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use Forge for internal business or personal use, and to access the Site for informational and account management purposes. This license does not transfer ownership of the Software. All rights not expressly granted are reserved.

3. License Restrictions

You may not: reverse engineer, decompile, disassemble, or attempt to derive source code except where permitted by law; modify, adapt, translate, or create derivative works of the Software; resell, rent, lease, sublicense, distribute, or otherwise commercially exploit Forge without written permission; circumvent technical safeguards, licensing enforcement, or execution controls; or use Forge in violation of applicable law.

4. Deterministic Execution Model

Forge operates under a deterministic execution model. A JobSpec is immutable once execution begins. Jobs execute based solely on explicit configuration. No silent fallbacks, hidden retries, or automatic substitutions occur. Failures are surfaced explicitly. Forge does not automatically retry failed jobs, substitute alternative encoding profiles, modify execution parameters during processing, or apply AI-based optimisations without explicit configuration. You are responsible for verifying JobSpecs prior to execution.

5. Validation and Failure Handling

Forge performs validation before execution. Jobs may fail due to invalid configuration, missing or corrupted source files, unsupported codecs or formats, system resource constraints, or external engine failures (e.g., FFmpeg or DaVinci Resolve errors). Execution failures may produce partial or temporary artifacts. Forge attempts cleanup where appropriate but does not guarantee automatic recovery from system-level interruptions. You are responsible for reviewing logs, audit records, and output files before relying on results.

6. Third-Party Software Dependencies

Forge may rely on third-party software components, including but not limited to FFmpeg, DaVinci Resolve, and operating system codecs and media frameworks. Use of such third-party components is subject to their respective licenses. The Company does not control and is not responsible for changes, errors, or limitations introduced by third-party software. You are responsible for ensuring you hold valid licenses for any required third-party software (e.g., DaVinci Resolve Studio).

7. Local-First Operation and Data Responsibility

Forge operates locally unless explicitly configured otherwise. The Company does not automatically upload media files, does not monitor your file system, and does not access your media content. You are solely responsible for safeguarding your media, maintaining backups, ensuring sufficient disk space, and verifying output integrity before delivery. Forge does not replace professional QC processes.

8. No Creative or Editorial Warranty

Forge is not an editorial system and does not guarantee colour accuracy, creative intent preservation, compliance with broadcaster specifications, or subjective quality assessment. Output quality is determined by selected profiles and source material. Forge guarantees determinism, not artistic suitability.

9. Website Use

You may use the Site for lawful purposes only. You may not attempt to gain unauthorised access to systems, interfere with site infrastructure, scrape, copy, or redistribute content without permission, or use the Site for competitive analysis in violation of applicable law. We may suspend or restrict access to the Site at our discretion.

10. Payments and Subscriptions

If Forge is offered under paid licensing: fees are due as specified at purchase; subscriptions renew automatically unless cancelled; all payments are non-refundable except where required by law; license access may be suspended for non-payment. The Company may modify pricing with reasonable notice.

11. Beta Software Disclaimer

If you are using a beta or pre-release version: the Software may contain defects; features may change or be removed; execution guarantees may evolve; no production suitability is implied. Use of beta versions is at your own risk.

12. Intellectual Property

Forge, including all code, documentation, branding, design, and associated materials, is the intellectual property of the Company. You may not use Company trademarks without written permission, represent yourself as affiliated with the Company, or remove copyright or proprietary notices.

13. Disclaimer of Warranties

Forge is provided "AS IS" and "AS AVAILABLE". To the maximum extent permitted by law, the Company disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and error-free or uninterrupted operation. The Company does not warrant that execution will be uninterrupted, that jobs will always succeed, that third-party engines will behave consistently, or that output will meet external delivery requirements.

14. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for loss of media, loss of business, missed deadlines, consequential or incidental damages, data corruption, or indirect financial loss. Total liability under these Terms shall not exceed the amount paid by you for the Software in the twelve (12) months preceding the claim. Some jurisdictions do not allow certain limitations; in such cases, liability is limited to the maximum extent permitted by law.

15. Indemnification

You agree to indemnify and hold harmless the Company from claims arising out of your misuse of Forge, violation of these Terms, violation of third-party rights, or delivery of defective or non-compliant media created using Forge.

16. Termination

We may terminate or suspend your license if you breach these Terms, circumvent licensing controls, or use Forge unlawfully. Upon termination your license ends immediately, you must cease using the Software, and you must uninstall copies where required. Sections relating to liability, intellectual property, and disclaimers survive termination.

17. Modifications to Terms

We may update these Terms periodically. Continued use of Forge after changes constitutes acceptance of the revised Terms. If you do not agree to updated Terms, discontinue use.

18. Governing Law

These Terms are governed by the laws of the applicable jurisdiction, without regard to conflict of law principles. Disputes shall be resolved in the courts of the applicable jurisdiction, unless otherwise required by applicable consumer protection laws.

19. Entire Agreement

These Terms constitute the entire agreement between you and the Company regarding Forge and supersede all prior agreements, communications, and understandings.
